Amera & Associates Advocates has successfully advised Malakoff Corp Berhad in the establishment of its Sarawak SPV, Malakoff Evergreen Sdn Bhd (MEVSB). This new special-purpose vehicle entity is jointly owned by Malakoff’s wholly-owned Tuah Utama Sdn Bhd (70%) and EE Solar Sdn Bhd (30%).
MEVSB represents a strategic step in Malakoff’s ventures into Sarawak and solar, reinforcing its commitment to renewable energy expansion and regional diversification.
Under the Power Purchase Agreement (PPA) with the state utility firm Syarikat SESCO Bhd (subsidiary for Sarawak Energy Berhad), Malakoff Evergreen Sdn Bhd (MEVSB), will design, construct, own, operate, and maintain a 100MWac solar photovoltaic energy generating facility in Bintulu, Sarawak for 30 years which scheduled to begin commercial operations on May 1st, 2028.
The transaction was facilitated by Partner Amera Binti Mohd Yusof, who provided comprehensive legal counsel throughout the entire process of the company’s formation.
We are proud to have assisted Malakoff Corp Berhad in this matter which aligns the Sarawak state’s ambition to become the “Battery of ASEAN” by 2035 together with Malakoff 2.0 Strategic Transformation plan, which targets 1,400MW of Renewable Energy capacity by 2031.
